These terms apply to all services provided by resultart to entrepreneurs within the meaning of Section 14 of the German Civil Code (BGB) (“Customer”, “you”).
1. Scope
(1) Only these terms and the respective offer/service document apply.
(2) Deviating terms and conditions of the Customer only apply if we expressly accept them in text form.
2. Conclusion of contract
A contract is concluded by acceptance of our offer in text form, by confirmation of an order or by the start of performance of the services.
3. Services (contract for services) and definition of terms
(1) resultart provides services in the field of decision architecture (Entscheidungsarchitektur), in particular Consultation, Forensic, Rebuild and Direction Mandate as well as checks, sprints, workshops, advisory, analyses and the provision of decision and management artefacts.
(2) Unless expressly agreed as a contract for work, our services are services (Dienstleistungen). No specific result is owed.
(3) resultart uses terms such as “architecture”, “decision architecture” or “system architecture” exclusively in a figurative, strategic sense. resultart provides no building planning services under the HOAI (German Fee Schedule for Architects and Engineers), no structural engineering or building law advice, and does not act as a building architect or architectural firm.
(4) Our services do not constitute legal, tax or financial advice and do not replace review by professionals qualified for this purpose.
4. Cooperation of the Customer
(1) The Customer provides all information, documents, access and contact persons required for the service completely, correctly and in good time.
(2) Delays and additional effort due to missing or late cooperation are borne by the Customer and may be invoiced additionally by agreement.
5. Remuneration and terms of payment
(1) Remuneration is based on the offer (flat fee or time & materials) plus statutory VAT and any agreed incidental costs (e.g. travel/expenses).
(2) Invoices are due without deduction within 7 calendar days of receipt, unless otherwise agreed.
(3) In the event of late payment, the statutory provisions apply (in particular default interest between businesses under Section 288(2) BGB and, where applicable, the default lump sum under Section 288(5) BGB).
6. Rights of use in work results
(1) “Work results” are all content/documents provided by resultart in the course of the assignment (e.g. maps, notes, snapshots, lists, presentations, templates).
(2) Upon full payment, the Customer receives a simple, non-exclusive right of use, unlimited in time and territory, for internal business purposes.
(3) Publication, disclosure or exploitation towards third parties (e.g. publication, resale, external training) requires our prior consent in text form.
(4) Methods, frameworks, templates and know-how of resultart remain our intellectual property; we may continue to use general know-how across projects.
7. Confidentiality
Both parties treat confidential information as strictly confidential and use it exclusively for the performance of the contract. This obligation also applies after the end of the contract. Excluded is information that is demonstrably publicly known or becomes public without a breach of contract.
8. Cancellation (workshops/sprints/scheduled services)
Unless otherwise provided in the offer, the following applies:
- up to 14 calendar days before the start: free of charge (plus non-cancellable third-party/travel costs)
- 13 to 7 calendar days before the start: 50% of the net order value
- from 6 calendar days before the start / no-show: 100% of the net order value
The right to prove lower or higher damage is reserved.
9. Liability
(1) Unlimited liability in the event of intent, gross negligence, injury to life/body/health and under mandatory law.
(2) In the event of simple negligence, we are only liable for breach of essential contractual obligations and limited to the foreseeable damage typical of the contract. Liability is limited in amount to 200% of the net order value of the assignment concerned.
(3) Liability for indirect damage (e.g. loss of profit) is excluded to the extent permitted by law.
10. Data protection
Data protection is governed by the GDPR (DSGVO). If we process personal data on behalf of the Customer, the parties conclude, where necessary, a data processing agreement (Art. 28 GDPR).
11. Final provisions
(1) German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
(2) The place of performance and place of jurisdiction (where permissible) is the registered office of Resultart GmbH.
(3) Should individual provisions be or become invalid, the validity of the remaining provisions remains unaffected.
